Terms of Service

These Terms of Service ("Terms") govern your use of Access the Deal ("the Service"), operated by Arcanex LLC. By creating an account or using the Service, you agree to these Terms.

1. Service Description

Access the Deal is a secure property photo sharing platform for real estate wholesalers and investors. The Service allows you to upload property media, organize buyer lists, generate share links with access controls and watermarks, and track who views your deals.

2. Account Responsibilities

• You must provide accurate account information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must be at least 18 years of age to use the Service
• One person or entity per account — account sharing is not permitted

3. Acceptable Use

You agree not to use the Service to:

• Upload, share, or distribute illegal content
• Infringe on the intellectual property rights of others
• Harass, threaten, or abuse other users or buyers
• Upload content that is fraudulent, misleading, or deceptive
• Attempt to bypass security measures, rate limits, or access controls
• Use automated tools to scrape, download, or redistribute content
• Resell or sublicense access to the Service without authorization

4. Content Ownership

You retain full ownership of all content you upload, including photos, videos, documents, buyer data, and property details. We do not claim any intellectual property rights over your content.

By using the Service, you grant us a limited license to process, store, display, and generate watermarked copies of your content solely for the purpose of providing the Service. This license terminates when you delete your content or account.

5. Buyer Data

You are the data controller for all buyer information (names, emails, phone numbers) you upload to the Service. You are responsible for ensuring you have appropriate consent or legal basis to store and use this data. We process this data on your behalf solely to provide buyer verification and access control features.

6. Plans and Payment

• The Service offers multiple paid plans with varying feature limits
• Payment is processed by Stripe. By subscribing, you also agree to Stripe's terms of service
• Prices are listed in USD and are subject to change with 30 days notice
• Plans renew automatically (monthly or annually) until canceled
• You may cancel at any time — access continues until the end of the current billing period
• Refunds are handled on a case-by-case basis; contact us within 7 days of charge

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service runs on Google Cloud/Firebase infrastructure. We may perform maintenance or updates that temporarily affect availability. We are not liable for downtime, data transmission delays, or service interruptions.

8. Watermarks

The Service applies watermarks to copies of your photos based on your configured settings. Watermarks are applied server-side and stored as separate files — your original photos are never modified. Watermarked images are intended for sharing with buyers and are not guaranteed to be tamper-proof.

9. Account Deletion

You may delete your account at any time via Settings. Upon deletion:

• Your account enters a 7-day grace period during which you can reinstate it by signing back in
• After 7 days, all data is permanently deleted from our servers, including photos, buyer lists, access logs, and account information
• Deletion is irreversible after the grace period

We reserve the right to terminate accounts that violate these Terms without prior notice.

10. Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law:

• We are not liable for any loss of deals, revenue, or business opportunities arising from use of or inability to use the Service
• We are not liable for unauthorized access to your content if you share links publicly or with weak access controls
• Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law provisions.
